Sivive Enterprise Solutions Private Limited, a company incorporated in India and its employees (Sivive, vivelogis, we, us), value your relationship and respect your choice to visit our sites and know more about us and our services. www.thesivive.com and www.vivelogis.com, their sub-domains, web or mobile applications, if any (collectively, our websites, sites or platforms) are owned and operated by us. Accessing and using these sites is subject to these terms and conditions of use (also, terms of use, or terms). Our sites shall include any information or services made available by us, regardless of the medium we use and shall include, without limitation, any affiliated websites, mobile applications, videos, products, and applications we make available. Sivive reserves the right to amend, temporarily or permanently suspend or discontinue these sites, or part thereof, from time to time, or anytime with or without prior notice.

Limited license to our intellectual property

Contents used and displayed on our sites, including but not limited to texts, software, photographs, graphics, illustrations and artwork, videos, music and sounds, names and logos, trademarks and service marks, are the property of Sivive Enterprise Solutions Private Limited, or its affiliates or licensors, and protected by copyright, trademark, and other laws. However, certain photographs, images, and videos used in our website may be subject to free right to use, downloading, copying, modification, or adapting the contents for commercial or non-commercial purposes under the respective licenses of the image owners. Any content may be used solely for your personal and non-commercial use. You may modify, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any such material without our prior written permission or the original owners at your initiative, responsibility and consequences under the respective IP laws. Sivive grants you a personal, non-exclusive, non-transferable, revocable license to use our sites and any materials on these sites for non-commercial purposes subject to these terms of use.

The terms Sivive, vivelogis, www.thesivive.com, www.vivelogis.com, associated trademarks, logos, and all related designs and slogans are the trademarks of Sivive Enterprise Solutions Private Limited or its affiliates or licensors. You may not use such marks without the prior written permission of Sivive Enterprise Solutions Private Limited. Other names, logos, product and service names, designs, and slogans on the sites may be trademarks of their respective owners.

Permissible use of our sites

You may use our sites for legitimate purposes and per the terms of use. You agree to not misuse the sites in any manner that may -

violate any laws or regulations;
harm, abuse or attempt to harm or abuse any person or entity, or expose them to inappropriate content;
ask for personally identifiable information;
transmit, or send advertising or promotional materials, including junk mails, spams or other similar solicitations;

You further agree to not -

"scrape" or disaggregate data from our sites by any means for commercial, marketing, data compiling or enhancing purposes;
induce viruses, trojan horses, worms, logic bombs, or other harmful or malicious material;
try to unauthorizedly access to, interfere with, damage or disrupt any parts of the sites, or the servers hosting our sites, or any server, computer or database connected to our sites;
otherwise, attempt to interfere with the proper functioning of the sites.

Your content on our sites

You may be required to share personal and non-personal information in some sections of our sites when you subscribe to our newsletters or seek to know more about our services. Should you choose to give information, you must take care to share legitimate information in the sections and avoid sharing any information which is considered objectionable, illegitimate, misleading, discriminating, unlawful or infringing on the rights of others.

Monitoring, enforcing and reporting objectionable content

We have the right to -

Refuse, remove, and delete any objectionable content posted on our sites, without explanation or reason;
Take any action with respect to any user that we deem necessary or appropriate in our sole discretion;
Disclose identity or other information about any person posting objectionable content to any third party who claims that such material violates their rights, including their intellectual property rights or their right to privacy;
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of our sites;
Terminate or suspend access to all or part of our sites for any reason, including without limitation, for any violation of these Terms of Use.

We have a duty and the right to fully cooperate with courts, law enforcement authorities directing or requesting us, and other parties affected by your content on our sites requesting us to disclose information including the identity of any person posting objectionable content as per the preceding section on or through our sites. You waive and hold Sivive and its affiliates, employees, authorized vendors and business partners harmless from claims resulting from actions taken by any law enforcement authority or court of law during or as a result of its investigations or actions taken as a consequence of investigations by the company or such parties, or law enforcement authorities, or directions of the courts.

We cannot and do not undertake to review any material before it is posted on our sites, and cannot ensure prompt removal of objectionable material after it has been posted. We do not review or monitor any websites, advertisements, or other media linked to or available through our sites and do not assume responsibility for the content of any such third-party advertisements or linked websites. Accordingly, we take no liability for any action or inaction regarding transmissions, communications, or any content provided by, or decisions taken by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Waiver and severability

No waiver by Sivive of any term or condition set forth in these terms of use shall be construed as a continuing waiver of such term or condition, and any failure of Sivive to assert a right or a provision under these terms of use shall not be construed as a waiver of such right or provision. If any provision of these terms of use is held to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or reduced to the minimum extent such that the remaining provisions of the terms of use will continue in full force and effect.

Entirety

The terms of use constitute the sole and entire agreement between you and Sivive with respect to the sites and supersede any previous and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the sites.

Notwithstanding the foregoing, these terms do not override other contractual rights and obligations relating to matters other than these terms, as entered into between us under a separate agreement.
